Corporate Paralegal

Summary Description

As a Paralegal in THG's corporate group, you will lead or actively support all legal-related workstreams that are outlined below. In this role, you'll work closely with THG's Corporate Counsel, and your responsibilities will provide you with exposure to leaders across THG, including its operating companies. Importantly, as one of the few in-house legal professionals, you will have the opportunity to shape the internal legal function at THG.

Key Responsibilities

Workstreams You Will Lead

  • Manage the corporate document retention system by entering legal documents into the system and setting up legal billing- and litigation matters as necessary.
  • In partnership with THG's operating companies and tax department, administer all THG entities by ensuring CT Corp., our registered agent service, has all appropriate information to file annual reports.
  • Prepare and execute annual resolutions for all companies in the THG portfolio, manage the online corporate minute books, and ensuring key information is accurate and up to date.
  • Provide corporate documents requested internally or by third parties.
  • Update and manage records with various Secretary of State offices.
  • Track primary law firm relationships, including ongoing assignments and year-to-year spend.

Workstreams You Will Support

  • Design, document, and administer new and existing long-term incentive plans, operating agreements, co-investment agreements, deferred compensation arrangements, and related.
  • Corporate transactions including M&A, financings, and real estate (e.g., LOIs, purchase agreements, deal structuring, minority shareholder buyouts, and so forth).
  • Establish, implement, and oversee risk mitigation policies, including signing authority, document retention, employee CAs and non-competes, new entity creation protocols, and contract reviews.
  • Lead or support internal legal responsibilities, including proxy voting for public company holdings and intercompany note documentation.

Leadership and Talent Development

  • Play a key role in developing THG Corporate Finance and THG Legal into a center of excellence.
  • Partner with executives and other key stakeholders at THG and its operating companies.

Qualifications

  • Education and Certification o Bachelor's Degree or higher, ideal candidate will have an undergrad or graduate degree in Law
  • Work Experience
    • o 3-5 years of paralegal experience at a law firm or within corporate legal department
  • Other Critical Skills
    • Ability to handle sensitive and confidential information
    • Extremely resourceful, organized and detail-oriented
    • An ability to distill complex matters into salient, digestible takeaways and conclusions
    • Team-first attitude – willingness to roll up their sleeves regardless of the task
    • Strong project management skills with ability to project and meet deadlines
    • Track record of building strong working relationships across all levels of an organization
